BY-LAWS
Provincial Capitol Airsoft Troop
(ProCAT)
KNOW ALL MEN BY THESE PRESENTS:
We, the undersigned members of the Provincial Capitol Airsoft Troop, all Filipino citizens, of legal age and residents of the Republic of the Philippines, have this day voluntary agreed to form a non-political, non-secretariat and no-profit association under the laws of this country that shall promote and maintain the prestige and integrity of airsoft activities and undertake civic, cultural, economic and social activities to enhance brotherhood, fraternity, discipline, responsibility and unity between and among the members of the association, under the blessings of justice, peace, freedom, democracy, mutual help and understanding do hereby ordain and promulgate this Constitution and By-Laws.
ARTICLE I
NAME OF ASSOCIATION
Section 1.The name of the association shall be the PROVINCIAL CAPITOL AIRSOFT TROOP.
ARTICLE II
PRINCIPAL OFFICE OF THE ASSOCIATION
Section 1.The principal office of the Association shall be at the Ilocos Norte Provincial Capitol, Laoag City, subject to the approval by the officers in case of other venue, as the case maybe.
ARTICLE III
OBJECTIVES
Section 1. The objective for which this association is formed are:
1. Primary objective
a. To promote and strengthen the bonds of brotherhood and spread goodwill among the legitimate members of the Provincial Capitol Airsoft Troop.
2. Secondary Objective
In addition to the primary objective, the Association shall adopt the following secondary objectives:
a. To help promote and maintain the prestige and integrity for honesty in the conduct of airsoft activities of the Provincial Capitol Airsoft Troop.
b. To undertake civic, economic and social activities that would enhance the growth, prominence and development of the association; and
c. To adopt such other plans and programs that may help foster the welfare and well-being of the members, their families and community.
ARTICLE IV
MEMBERSHIP
Section 1. All the members shall, upon registration as member of the association, pay a registration/membership fee in the amount of Two Hundred Pesos (Php 200.00), such registration would constitute membership until the dissolution of the association.
Section 2. Failure to pay the registration/membership fee shall be sufficient ground to disqualify a member his right to vote and participate in its business and activities.
ARTICLE V
FEES AND DUES
Section 1. A monthly fee in the amount of Ten Pesos (Php 10.00) shall be paid by each member.
Section 2. The monthly fee shall be paid within seven days after the end of every month to the Treasurer/s.
Section 3. The monthly fee collected shall accrue to the bank account of the Association.
Section 4. A game fee shall be paid to the treasurer for every game or airsoft activity within the association’s game site/s in the amount of Ten Pesos (Php 10.00) for members and Twenty Pesos (Php 20.00) for non-members, valid for the entire length of the activity.
ARTICLE VI
DUTIES AND OBLIGATIONS OF MEMBERS
Section 1. Every member shall:
a. Be loyal to the association, uphold its Constitution and By-Laws, contribute to its development and welfare and show cooperation with the Association in the attainment of the objectives.
b. Pay his dues and other financial obligations in order to maintain smooth operation and management of the Association.
c. Participate and support projects and undertakings of the Association.
d. Observe and obey all lawful orders, decisions, rules, and regulations adopted by the Board of Councilors and other officers of the Association; and
e. Vote for the members of the Board of Councilors and other officers of the Association.
f. Vote in the General Assembly subject to any lawful restraints that may be imposed against such right.
ARTICLE VII
GOVERNMENT
Section 1. The General Assembly. The General Assembly is composed of all active and legitimate members of the Provincial Capitol Airsoft Troop. The General Assembly shall be considered as the highest governing body of the Association.
Section 2. Powers of the General Assembly. Subject to provisions of its constitution and By-laws and rules issued hereinafter, the General Assembly shall have the following powers:
a. Amend and adopt its Constitution and By-Laws in accordance with law;
b. Elect, appoint or remove for cause any officer of the Association, after due process;
c. Review and approve/disapprove the reports of the officers and council members;
d. Adopt an Association Seal and exercise all other powers as maybe authorized by law and Constitution.
Section 3. Meeting. Regular meetings of the General Assembly are held every Saturday of any month. Special/ emergency meetings may be called for by the President or his designated representative when the need arises.
Section 4. Place of Meetings. General Assembly meetings whether regular or special, shall be held within the compound of the Ilocos Norte Provincial Capitol or any other designated place as may be agreed upon by the majority of all the members.
Section 5. Notice. Notices of regular or special meetings of the General Assembly are sent by the Secretary of the Association thru the website of the association, or thru the use of mobile communications the at least one (1) week prior to the date of the meeting.
Section 6. Quorum. A simple majority of the duly registered officers and members of the Association and or their proxies constitute a quorum.
Section 7. Conduct of Meetings. The meetings of the General Assembly shall be presided over by the President or the designated representative.
Section 8. Manner of Voting. All voting shall be by rising of hands. No proxy shall be allowed
ARTICLE VIII
OFFICERS
Section 1. The Officers shall be elected by the members in a General Assembly. They shall have a term of three (1) year, without prejudice to reelection.
Section 2. The officers shall be composed of the President, Vice-President; Secretary; Treasurer/s; Councilors.
Section 3. Any member who is presently or has previously served with the Philippine Army, Philippine National Police and such other military office of the government shall be an ex-officio member of the Board who may participate in the deliberation but without voting power.
Section 4. Permanent vacancies in the offices due to death or incapability shall be filled up by the Board of Councilors with the confirmation of the General Assembly during its regular or special meeting, provided the elected members shall serve for the unexpired term of the vacancy.
Section 5. Any Officer who fails to attend its meetings for three (3) consecutive times without any valid reason/s shall be imposed a monetary penalty in the amount of P20.00 or removal from office as maybe agreed upon by the members of the Council and the office vacated shall be filled up through election during General Assembly meeting, provided that such officer shall serve for the unexpired term of vacancy.
Section 6. The regular meetings of the officers shall be held every third Saturday of the month. The President may call special meetings as the need arises in the interest of the Association.
Section 7. A simple majority composed of nine (9) members of the officers shall constitute a quorum to do business.
ARTICLE IX
POWERS OF THE OFFICERS
Section 1. Unless otherwise provided by law, the corporate powers of the Association shall be exercised and all business and all property of the Association shall be controlled and held by the General Assembly without prejudice to such general powers and such other powers as may be granted by law. Officers shall have the following powers:
a. Make and amend rules and regulations not consistent with these By-Laws and Board of Councilors issuances necessary to carry out the objectives of the Association.
b. Receive and appropriate all funds as may be provided for the support of the Association in the manner it may determine in its discretion, to carry out the objectives of the Association.
c. Receive in trust legacies, gifts and donations of real and personal properties of all kinds, to administer and dispose the same when necessary for the benefit of the Association, subject to limitations, directions and instruction of the donors, if any
d. Implement these By-Laws and act on any matter not covered by these By-Laws, provided such matter does not require the approval of the General Assembly under existing laws, rules and regulations.
ARTICLE X
DUTIES OF THE OFFICERS
Section 1. President. The President shall be the Chief Executive Officer of the Association. He shall administer and direct the affairs of the Association. He shall exercise the following functions:
a. Presides over all meetings of the officers of the Board of Councilors and General Assembly.
b. Initiates and develops Association’s objectives and formulate long term projects, plans and programs.
c. Supervises and manages the business affairs and property of the Association;
d. Executes on behalf of the Association all contracts, agreements and other instruments affecting the interest of the Association which require the approval of the officers, except as otherwise directed by the officers;
e. Makes reports to the officers and members of the General Assembly;
f. Performs such duties as are incident to his Office or as entrusted him by the officers.
Section 2. Vice-President. The Vice-President shall have the following duties.
a. The Vice-President shall take the place of the President in case of temporary or permanent incapacity. He shall perform the functions of the President provided herein. He may perform other functions that may be assigned to him by the President.
b. Prepares long-range and short-range plans of the Association;
c. Coordinates the activities of the different Airsoft Teams and Groups;
d. Works harmoniously with the Councilors to attain the planned goals/activities of the Association.
e. Monitors the whereabouts of PROCAT members noting their addresses, telephone numbers, and other means of contact;
f. Informs members of the recent trends and activities toward the different National, Regional or Local airsoft activities;
Section 3. The Secretary. The Secretary shall be the custodian of the Association and shall maintain its documents, papers, receipts, minutes of the meetings and formal business activities. He shall have the following specific functions:
a. Records and/or sees the proper recording of the minutes and transactions of all meetings of the officers and General Assembly and to maintain books of such meetings in the form and manner required by-law;
b. Prepares such statement and reports of the Association as maybe required of him by law;
c. Attends to the distribution and serving of all notices of the Association required by the Constitution and By-Laws of the Association;
d. Keeps the association seal and affixes it to all papers and documents requiring a seal to attest by his signature all association documents requiring the same;
e. Performs and maintains a membership roll of the Association and a complete record thereof;
f. Acts as inspector at the election of the officers; and
g. Performs such other functions as are incident to his office or as may be assigned to him by the President.
Section 5. The Treasurer. The Treasurers of the Association shall be its chief fiscal officer and custodian of its funds and properties. He shall have the following specific functions:
a. Keeps full and accurate account of receipts and disbursement in the books of the Association;
b. Collects, receives and disburses under the direction of the President funds of the Association;
c. Deposits all the money, funds and similar valuable effects belonging to the Association which may come under its control in the name of and to the credit of the Association with the concurrence of the President and the Council, in such bank as may be designated from time to time by the officers;
d. Render annual reports, statements, certification and other documents which may, from time to time, be required by the officers or by the government rules and regulations and to submit the same to the proper agencies; and
e. Exercises such powers and performs such duties and functions as may be assigned to him by the President of the Association.
Section 8. Term of Office. The term of office shall be a period of one year in Section I of Article VIII and serve until their successors shall have been duly elected and qualified. Such officers may sooner be removed for cause by the members.
Section 9. Vacancies. If any position becomes vacant by reason of death, resignation, disqualification or for any other reasonable/acceptable cause, the officers by majority vote may elect a successor who shall hold office for the unexpired term.
Section 10. Meetings. Regular meetings of the officers shall be held as provided in Section 6 of Article VIII on dates and at such time and place as the Chairman, or in his absence, the Vice-Chairman may deem necessary or upon the request of the majority of the officers.
Section 11. Notice. Notice of regular or special meeting of the officers, specifying the date, time and place of the meeting, shall be communicated by the Secretary.
Section 12. Quorum. A simple majority of the duly elected officers as fixed in the Constitution and By-Laws shall constitute a quorum (Section 6, Article VII).
Section 13. Conduct of Meetings. Meetings of the officers shall be presided by the President or in his absence, the Vice-President if none of the foregoing is present, an acting Chair chosen by the present.
ARTICLE XI
OFFICES
Section 1. The principal office of the Association shall be located at the place stated in Article II of the By-Laws. The Association may have such other branch offices as may be designated or as the business of the Association may, from time to time, require.
ARTICLE XII
AMENDMENTS
Section 1. The By-Laws may be amended or replaced by the affirmative vote of at least a majority of the officers and General Assembly at any meeting for that purpose. However, the power to amend, modify, repel or adopt new by-laws may be delegated to the officers by the affirmative vote of not less than 20 members, provided, however, that any such delegation of powers to the officers to amend, repel or adopt new by-laws may be revoked by the General Assembly at a regular or special meeting.
ARTICLE XIII
SEAL
Section 1. Form and Inscriptions. The Association seal shall be determined by the officers.
ARTICLE XIV
ADOPTION CLAUSE
The officers of the Provincial Capitol Airsoft Troop adopted the foregoing By-Laws at the Provincial Capitol. Laoag City.
IN WITNESS WHEREOF, WE, the undersigned members present at a General Assembly meeting and voting thereat in favor of adoption of said Constitution and By-Laws hereunto subscribe our names this 8th day of March, 2008, at the Provincial Capitol, Laoag City, Philippines.
Amendments and suggestions are always welcome as long as the proponent is a member.
